Leading data, insights and programmatic media company, Pureprofile Limited (ASX PPL: or ‘the Company’), is pleased to announce that the Company has completed the 100 per cent acquisition of digital marketing and lead generation business, Cohort Holdings Australia Pty Ltd (Cohort), as announced to the ASX on 22 September 2016.
Following the acquisition, Pureprofile can deliver one of the most comprehensive data, insights, lead generation and programmatic media solutions in Australia and offshore, with the combined business generating pro forma revenue of $55.8 million and operating EBITDA of $6.3 million in FY2016.
Under the terms of the acquisition, a payment of $15 million in cash and the issue of $3 million in Pureprofile shares at $0.45 per share has now been finalised, with a remaining conditional performance based earn-out component. The share price is the same price at which shares were offered under the recent institutional share placement and share purchase plan.
The Pureprofile Group now has over 650 clients and publisher relationships, a database of 3.5 million registered consumer profiles which is growing at approximately 150,000 each month, and over 230 staff across Australia, NZ, US, UK and Europe.
